01 Acceptance

These Terms of Service (“Terms”) are an agreement between you and BrainBox237 (“we”, “us”) governing your use of the Stocka application and related services (“Stocka” or the “Service”). By creating an account or using Stocka, you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Service.

02 Who can use Stocka

You must be at least 18 years old and able to enter a binding contract. If you use Stocka on behalf of a business, you confirm you are authorised to accept these Terms for that business, and “you” includes that business.

03 The service

Stocka is an offline-first inventory and point-of-sale tool. It helps you track products, stock levels, sales, debts and expenses, manage customers, and back up and sync that information to the cloud. Features available to you depend on your plan. We may add, change or remove features over time to improve the Service.

04 Your account

You are responsible for the accuracy of your account details and for keeping your password and PIN secret. You are responsible for activity under your account. Tell us promptly at stocka@brainbox237.com if you suspect unauthorised use. If you create a business and add staff, you are responsible for the roles and permissions you grant them.

05 Devices & licensing

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use Stocka for your own business purposes. Your subscription is tied to a signed device licence that lets paid features work even when you are offline. You may not copy, tamper with, reverse-engineer or attempt to forge the licence, or use Stocka beyond the number of devices your plan allows.

06 Subscriptions & billing

Some Stocka features require a paid subscription. Pricing and what each plan includes are shown in the app or on our website before you pay.

  • Payment. Subscriptions are charged through our payment provider, including Mobile Money and card where available. We receive a payment reference and status — not your wallet or card credentials.
  • Renewal. Plans run for the period you select. Where a plan renews automatically, we will make that clear before you buy, and you can cancel renewal before the next cycle.
  • Refunds. Except where required by law, payments are non-refundable once a billing period has started. If a charge looks wrong, contact us and we will review it in good faith.
  • Taxes. Prices may exclude applicable taxes, which are your responsibility unless stated otherwise.
  • Changes. We may change pricing for future periods with reasonable notice. Changes never apply retroactively to a period you have already paid for.

Depending on how you obtained Stocka, payment may be handled by your app store rather than directly by us. Where that is the case, that store’s billing and refund terms also apply.

07 Acceptable use

You agree not to:

  • Use Stocka for anything unlawful, fraudulent or harmful.
  • Store data you have no right to store, or violate anyone’s privacy.
  • Disrupt, overload or attempt to gain unauthorised access to the Service or its infrastructure.
  • Resell, sublicense or pass off the Service as your own without our written agreement.
  • Circumvent licensing, usage limits or security measures.

08 Your data & content

Your business records, customer details and images are yours. We do not claim ownership of them. You grant us only the limited permission needed to host, process, sync and back up that content so the Service can work, as described in the Privacy Policy. You are responsible for having the right to store the customer information you enter, and for the accuracy of your records.

09 Offline use & sync

Stocka is designed to work offline. Data you enter while offline is stored on your device and synced when you reconnect. If you use Stocka on multiple devices or edit the same records offline in different places, conflicts can occur; we apply reasonable rules to merge them, but you remain responsible for reviewing your records. We recommend keeping backups enabled.

10 Availability & support

We work to keep the Service available and reliable, but we do not guarantee uninterrupted access. Cloud features depend on connectivity and third-party providers. We provide support by email at stocka@brainbox237.com and aim to respond within a reasonable time.

11 Third-party services

Stocka relies on third parties such as Supabase, Cloudflare, Firebase and our payment provider. Their service and terms are outside our control, and we are not responsible for their acts or outages, though we choose providers carefully and pass on only the data needed.

12 Disclaimers

Stocka is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. Stocka is a record-keeping tool: the accuracy of your inventory, prices, sales and accounts depends on the data you enter, and it does not replace professional accounting or tax advice.

13 Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special or consequential losses, or for lost profits, revenue, goodwill or data. Where liability cannot be excluded, our total liability for any claim relating to the Service is limited to the amount you paid us for Stocka in the twelve months before the claim arose. Nothing in these Terms limits liability that cannot be limited by law.

14 Suspension & termination

You may stop using Stocka and delete your account at any time from the app or at brainbox237.com/stocka/delete-account. We may suspend or terminate access if you breach these Terms, misuse the Service, or where we must for legal or security reasons. On termination, your licence ends; the sections that by their nature should survive (such as data ownership, disclaimers, liability and governing law) will continue to apply.

15 Governing law

These Terms are governed by the laws of the Republic of Cameroon, including, where relevant, the uniform acts of the OHADA framework for commercial matters. Disputes will be subject to the competent courts of Cameroon, without prejudice to any mandatory consumer rights you have where you live.

16 Changes

We may update these Terms as the Service or the law changes. We will revise the “last updated” date and, for significant changes, notify you in the app. Continuing to use Stocka after a change means you accept the updated Terms.
